API Terms of Use
By using our APIs, you agree to the terms outlined here (“Terms”). Together, these Terms, any applicable supplemental terms, API documentation, and our policies and guidelines form a binding agreement between you and us. “You” refers to the individual developer or the organization you represent. These Terms apply to the application programming interfaces, software development kits, sample code, command line tools, developer tools and other related documentation and materials made available by us (collectively, “API or APIs”). If you are using the API on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these Terms. “We,” “us,” and “our” refer to Valimail, Inc, unless otherwise specified in any applicable additional terms. Please review all applicable terms carefully before using the APIs. If you use the APIs as an interface to, or in conjunction with other products or services, then the terms for those other products or services also apply.
1. LICENSE GRANT
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our API solely for the purpose of developing, testing, and operating integrations with our services as explicitly authorized by us.
We retain all rights, title, and interest in and to the API, including all associated intellectual property rights, improvements, and derivative works. you obtain no rights other than those expressly granted in this section. Any feedback you provide may be used by us without restriction or compensation.
2. USAGE RESTRICTIONS.
You agree not to (and will not allow others to): (i) reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the API; (ii) use the API to build products or services that compete with ours; (iii) sell, rent, lease, sublicense, distribute, or otherwise make the API available to third parties; (iv) scrape, index, or mine our systems or data accessed through the API; (v) exceed any applicable rate limits, quotas, or methods of access imposed by us; (vi) use the API for any unlawful, harmful, fraudulent, infringing, or abusive activity; (vii) interfere with or disrupt the API or servers or networks connected to the API; or (viii) circumvent or attempt to bypass any security or authentication measures.
3. API CREDENTIALS, SECURITY, AND CONFIDENTIALITY.
3.1 API Credentials. You must keep your API credentials (e.g., keys, tokens) secure and confidential. You are solely responsible for all activities that occur using your credentials. You must notify us immediately if you believe your credentials have been compromised.
3.2 Security. You will use commercially reasonable efforts to protect user information collected by the use of the API from unauthorized access or use and will promptly report to your users any unauthorized access or use of such information to the extent required by applicable law. you agree not to transmit through the API: (i) personal data (as defined under applicable privacy laws), unless expressly permitted in writing; (ii) payment card information, protected health information, or any sensitive data classified under GDPR, HIPAA, or other applicable laws; or (iii) any malicious code or technology intended to damage or disrupt our systems or data.
3.3 Confidentiality. Our API, documentation, and communications may include confidential information. You agree not to disclose any information that is marked confidential or would reasonably be considered confidential without our written consent. This obligation does not apply to information you independently develop, lawfully receive from another source, or that becomes public through no fault of your own. you may disclose our confidential information if required by law, but must notify us in advance if legally allowed.
4. AUDIT, SUSPENSION, AND TERMINATION
4.1. Audit Rights. To verify compliance with these Terms, we may audit your use of the API, including reviewing your systems, applications, and records related to your API activity. You agree to cooperate with any such audit and provide reasonable access to relevant materials. We will conduct any audit during normal business hours and with reasonable notice, unless we believe there is a security or legal concern requiring immediate access.
4.2 Suspension. We reserve the right to suspend or revoke your access at any time, with or without notice, if: (i) you violate these Terms; (ii) your use poses, or is reasonably suspected to pose, a threat to the security, performance, or availability of the API or our systems; or (iii) continued access is no longer commercially viable or permitted by law.
4.3 Termination. Upon termination: (i) you must promptly stop all use of the API; (ii) you must delete all API credentials, tokens, and any data obtained through the API (unless retention is required by law or separately agreed); and (iii) at our request, you will certify in writing that you have complied with these obligations.
We are not liable for any loss or harm resulting from suspension or termination of access in accordance with this section.
5. DISCLAIMER OF WARRANTIES
The API is provided “as is” and “as available” without warranty of any kind. We expressly disclaim all warranties, express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the API will be uninterrupted, error-free, or free of harmful components.
6. INDEMNIFICATION OBLIGATIONS.
You agree to indemnify, defend, and hold harmless us, and our officers, directors, employees, owners, shareholders, legal representatives, agents, successors and assigns; (collectively, the “Indemnified Parties”) from and against any and all third-party claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the API in violation of these Terms or applicable law; (ii) your breach of any representation, warranty, or obligation under these Terms; (iii) any content, data, or materials submitted or transmitted through the API using your credentials; and (iv) your products or services that interact with or rely on the API.
Even if you’re handling the defense, (a) we can choose our own lawyer at our own cost, and (b) you can’t settle any claim without our written approval (which will not be unreasonably withhold) if: (i) a government agency is involved, (ii) the settlement includes any admission by us, (iii) it doesn’t fully release us from liability, or (iv) it includes anything other than just a release and payment of money.
7. LIMITATION OF LIABILITY
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY CLAIM UNDER THESE TERMS (WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY) EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
IN NO EVENT WILL WE BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY LOST PROFITS, LOST REVENUE, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS DISCLAIMER WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
8. GOVERNING LAW AND DISPUTE RESOLUTION.
These Terms shall be governed by and construed under the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in the Northern District of California in the City and County of San Francisco, and the parties irrevocably consent to personal jurisdiction and venue therein. In any action or proceeding arising under this Agreement, the prevailing party will be entitled to recover reasonable costs and attorneys’ fees. The parties acknowledge and agree that any unauthorized disclosure or use of a party’s confidential information or intellectual property would cause such party irreparable harm for which monetary damages would be inadequate. Accordingly, in the event of such a disclosure or use, the aggrieved party may seek injunctive or other equitable relief to enforce this Agreement in addition to any available legal remedies.
